Terms of Service

1. Acceptance of Terms

These Terms of Service ("Terms") govern your access to and use of RingGenieHub (the "Service") provided by Code Genie Studio LLC ("we," "us," or "our"). By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

We may modify these Terms at any time. Material changes will be communicated via email or through the Service. Continued use after changes constitutes acceptance.

2. Service Description

RingGenieHub provides an AI-powered phone assistant service for businesses, including:

• Automated answering of incoming phone calls using artificial intelligence
• Call recording and transcription
• Appointment booking and calendar integration
• Intelligent call routing and handling
• Analytics and reporting on call activity

IMPORTANT: The Service is NOT intended for emergency calls or 911 services. Do not rely on the Service for emergency situations.

3. Account Registration and Eligibility

To use the Service, you must:

• Be at least 18 years of age or the age of majority in your jurisdiction
• Have the authority to enter into this agreement on behalf of your organization
• Provide accurate, current, and complete registration information
• Maintain the security of your account credentials
• Promptly update account information to keep it accurate
• Notify us immediately of any unauthorized access

You are responsible for all activities that occur under your account.

4. Call Recording, Consent, and Legal Compliance

Calls may be recorded and transcribed. YOU are solely responsible for:

• Complying with all applicable federal, state, and local laws regarding call recording and consent
• Obtaining necessary consent from call participants as required in your jurisdiction
• Providing appropriate notice or disclosures about recording
• Understanding whether you operate in a one-party or two-party consent jurisdiction
• Implementing beep tones, verbal disclosures, or other required notice mechanisms

Examples of laws you must comply with include state wiretapping laws, the Electronic Communications Privacy Act (ECPA), and other applicable regulations. You indemnify us against any claims arising from your failure to obtain proper consent or comply with recording laws.

Which plans include recordings, and what happens when you change plan

Written transcripts are included on every plan. Call audio is captured only while your organization is on a plan that includes call recording. Before changing plan, note:

• Upgrading is not retroactive. Calls taken on a plan without call recording were never captured as audio, so moving to a plan that includes recording does not produce audio for those earlier calls. Capture begins with your next call.
• Downgrading ends audio access immediately. Moving to a plan without call recording stops capture on new calls and removes your access to recordings already made, including those still within the retention period. Your transcripts are not affected.
• Recordings are deleted after 90 days, transcripts after 12 months. Both are deleted automatically, on every plan, whether or not your account remains active. See our Privacy Policy for detail.

5. Telephony Compliance and Restrictions

You agree to comply with all telecommunications laws and regulations, including:

• TCPA Compliance: Comply with the Telephone Consumer Protection Act regarding automated calls and consent
• Do Not Call Lists: Respect federal and state Do Not Call registries
• No Spam or Robocalls: Do not use the Service for unsolicited marketing calls or robocalls
• No Spoofing: Do not falsify caller ID information or engage in caller ID spoofing
• No Harassment: Do not use the Service to harass, abuse, or threaten individuals

Violations may result in immediate termination and legal liability.

6. Third-Party Services and APIs

The Service integrates with third-party services. Your use is subject to their respective terms and availability:

We are not responsible for third-party service availability, functionality, pricing, or terms. Service interruptions may occur due to third-party dependencies. This list may be updated periodically.

7. Acceptable Use Policy

You agree NOT to:

• Use the Service for any illegal or unauthorized purpose
• Violate any laws, including copyright, privacy, or telecommunications laws
• Make unsolicited calls, spam, robocalls, or telemarketing without proper consent
• Harass, abuse, threaten, or harm any person or organization
• Impersonate any person or entity or misrepresent your affiliation
• Interfere with, disrupt, or overload the Service or servers
• Attempt unauthorized access to the Service or related systems
• Collect personal information without consent
• Reverse engineer, decompile, or disassemble the Service
• Resell or redistribute the Service without authorization
• Use the Service for emergency calls or life-threatening situations

8. Payment, Subscriptions, and Cancellation

Payment terms are established during account setup:

• Subscription Plans: Monthly or annual billing
• Auto-Renewal: Subscriptions automatically renew unless canceled
• Usage Charges: Additional charges may apply for calls, minutes, or premium features
• Cancellation: You may cancel at any time; cancellation is effective at the end of the current billing period
• Refunds: Fees are non-refundable except as required by law or at our sole discretion
• Price Changes: We may change pricing with 30 days advance notice
• Suspension: Failure to pay may result in service suspension or termination

9. Service Availability

We strive to provide reliable service but do not guarantee uninterrupted or error-free operation. We are not liable for service interruptions caused by:

• Scheduled or emergency maintenance
• Third-party service outages
• Internet or network connectivity issues
• Force majeure events (natural disasters, acts of war, etc.)
• Actions by you, your users, or third parties

10. Intellectual Property

The Service, including all software, algorithms, designs, trademarks, and content, is owned by Code Genie Studio LLC and protected by intellectual property laws. You are granted a limited, non-exclusive, non-transferable license to use the Service for its intended purpose. You retain ownership of your data and content.

11. Data Ownership and Privacy

You retain ownership of all data you provide to the Service. We process your data as described in our Privacy Policy. Upon termination, you may request export of your data within 30 days. We will delete your data within 90 days of termination unless legal retention is required.

12. AI-Generated Content Disclaimer

The Service uses AI to generate responses during calls. While we strive for accuracy:

• AI responses may contain errors, inaccuracies, or hallucinations
• We do not guarantee the accuracy, completeness, or appropriateness of AI-generated content
• You are responsible for reviewing and monitoring AI interactions
• We are not liable for consequences arising from AI responses

13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

• WE ARE NOT LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES
• WE ARE NOT LIABLE FOR LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS OPPORTUNITIES
• WE ARE NOT LIABLE FOR SERVICE INTERRUPTIONS, ERRORS, OR DATA LOSS
• WE ARE NOT LIABLE FOR AI ERRORS, TRANSCRIPTION INACCURACIES, OR MISSED CALLS
• WE ARE NOT LIABLE FOR ACTIONS OF THIRD-PARTY SERVICES
• OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID IN THE 12 MONTHS PRECEDING THE CLAIM

Some jurisdictions do not allow limitation of liability for certain damages, so these limitations may not apply to you.

14. Indemnification

You agree to indemnify, defend, and hold harmless Code Genie Studio LLC, its affiliates, officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including attorneys' fees) arising from:

• Your use or misuse of the Service
• Violation of these Terms
• Violation of any laws or regulations, including call recording, TCPA, or anti-spam laws
• Failure to obtain required consents for call recording
• Infringement of third-party rights
• Content you provide or actions you take through the Service

15. Termination

Either party may terminate this agreement:

• By You: Cancel your subscription at any time through account settings or by contacting support
• By Us: With 30 days notice, or immediately for violations of these Terms, non-payment, illegal activity, or security risks

Upon termination, your access will be revoked, outstanding fees become due immediately, and you must cease using the Service. Provisions that by their nature should survive termination (payment obligations, indemnification, liability limitations) will remain in effect.

16. Dispute Resolution and Governing Law

Governing Law: These Terms are governed by the laws of the State of Texas, United States, without regard to conflict of law principles.

Arbitration: Any disputes arising from these Terms or the Service shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association. Arbitration shall take place in Texas. You waive the right to participate in class actions or class arbitrations.

Exceptions: Either party may seek injunctive relief in court for intellectual property infringement or violations of confidentiality obligations.

17. Modifications to Service

We reserve the right to modify, suspend, or discontinue any part of the Service at any time, with or without notice. We will provide reasonable advance notice for material changes that significantly reduce functionality. We are not liable for any modification, suspension, or discontinuation.

18. General Provisions

• Entire Agreement: These Terms and our Privacy Policy constitute the entire agreement
• Severability: If any provision is invalid, the remaining provisions remain in effect
• No Waiver: Failure to enforce any provision is not a waiver
• Assignment: You may not assign these Terms without written consent; we may assign freely
• Force Majeure: We are not liable for delays due to circumstances beyond reasonable control
• Independent Contractors: No agency, partnership, or employment relationship is created
• Export Compliance: You must comply with US export control laws
